本條款與條件(以下簡稱「條款」)由 Wynne Launch Limited(以下簡稱「本公司」)制定,規範本公司提供的網站開發、內容更新及維護服務的相關規則與責任。在使用本公司的服務之前,請仔細閱讀條款。使用本公司的服務即表示你同意並接受這些條款。本條款適用於所有客戶。

1. 定義


  1. 「本公司」:指 Wynne Launch Limited,包括其所有員工、代理人及授權代表。
  2. 「客戶」「你」:指接受本公司服務,並與本公司簽訂合同或協議的個人或法人實體。
  3. 「服務」:指本公司提供的網站開發、內容更新與維護、技術支援及其他相關服務。
  4. 「訂閱服務」:指本公司提供的按月或按年收費的內容更新與維護服務,包括但不限於技術支援、安全更新及網站備份。
  5. 「用戶驗收測試 (UAT)」:指客戶在交付成果後進行測試的過程,旨在確認服務或項目的成果符合合同中商定的需求與要求。
  6. 「系統」:除非另有說明,否則指網站和企業管理系統。

2. 服務範圍


  1. 本公司提供的服務包括但不限於:
    1. 網站及企業管理系統:設計、開發與實施。
    2. 網站及企業管理系統:內容更新與維護(包括年費訂閱服務)。
    3. 網站及企業管理系統:功能升級與錯誤修復。
    4. 其他經雙方協議的相關服務。
  2. 本公司有權對服務範圍進行調整,並將提前通知客戶。

3. 報價與付款條款

  2. 所有服務報價均以書面形式提供,並在報價有效期內有效(通常為14天,具體以報價單為準)。
  3. 付款結構:
    1. 小型項目(低於HK$35,000):需全額預付,於項目開始前支付。
    2. 中型項目(HK$35,000 以上):需支付 80%訂金 於項目開始前,餘款 20% 於項目完成並經客戶驗收測試 (UAT) 後支付。
    3. 大型或複雜項目(HK$60,000 以上):採用里程碑付款方式:
      1. 70%訂金:於項目開始前支付。
      2. 20%中期款項:於主要里程碑(如設計稿或第一版測試網站完成)後支付。
      3. 10%尾款:於項目完成並經客戶驗收測試 (UAT) 後支付。
  4. 訂閱服務付款:
    1. 訂閱服務以自動續約模式進行收費,客戶可選擇按月或按年支付訂閱費用。
    2. 除非客戶在到期日前至少30天以書面方式通知取消,否則訂閱服務將自動續約。
  5. 所有款項必須在發票日期起的 14天內支付,否則將可能產生延遲付款費用或服務中斷。

4. 客戶責任與義務

  1. 提供準確資料:
    1. 客戶需提供準確、完整且及時的資料(如文字、圖片、品牌標識等),以便本公司完成項目。
    2. 如果客戶提供的資料包含錯誤、不完整或違反法律,本公司不承擔其引起的任何延誤或損失責任。
  2. 遵守時間表:
    1. 客戶需按雙方商定的時間表提交所需資料或回應本公司的詢問。如因客戶延遲導致項目無法按時完成,本公司不承擔責任,且有權延長項目時間或要求補償額外費用。
  3. 第三方干涉:
    1. 客戶不得在未經本公司同意的情況下,允許第三方對項目或網站進行干涉、修改或操作。如因第三方干涉導致問題,本公司不承擔相關責任,且可能收取額外修復費用。
  4. 資料合法性:
    1. 客戶需保證其提供的所有資料(如文字、圖片、影片、音樂等)均擁有合法使用權,不侵犯第三方的版權、商標權或其他知識產權。
    2. 如因客戶提供的資料違反法律或侵犯第三方權利,客戶需承擔全部法律責任,並賠償本公司因此遭受的任何損失或損害。
  5. 網站內容責任:
    1. 客戶對於網站上發布的所有內容(包括但不限於文字、圖片、影片及其他媒體)承擔全部責任。本公司僅作為技術服務提供方,不對任何內容的合法性或準確性負責。
  6. 測試與確認:
    1. 客戶需在項目完成後按時進行測試並確認成果(詳見第5條)。
    2. 如客戶未能在規定時間內進行測試或提出異議,則視為客戶已接受交付成果。
  7. 維護與更新合作:
    1. 客戶需對網站的使用及維護負責,包括定期確認更新及安全需求。如客戶未按照本公司建議進行更新或維護導致問題,本公司不承擔責任。
  8. 支付義務:
    1. 客戶需按照合同約定的付款條件及時間完成付款。如有延遲付款行為,本公司有權暫停服務或停止項目進行。

5. 項目交付

​網站及企業管理系統:設計、開發與實施

  1. 本公司將根據雙方商定的項目時間表完成服務並交付成果。
  2. 客戶在交付成果後,需進行 用戶驗收測試 (UAT),並於 14天內 檢查、測試並確認。如14天內未提出異議,則視為客戶已接受交付成果。
  3. 如需進一步修改,將視為額外服務並可能收取額外費用。
  4. 項目完成並交付後,本公司將提供 60天內不限次數的修改保障,僅針對以下範疇進行修改:
    1. Bug 修復:修正網站或系統中影響功能正常運作的錯誤。
    2. 拼字或排版錯誤(Typo):修正內容中的拼字、語法或排版錯誤(限於原始提交內容)。
    3. 細微設計調整:小範圍的設計調整,例如顏色或字體大小的細微修改。
    4. 瀏覽器相容性問題:解決網站在主要瀏覽器上的顯示或功能問題。
    5. 基本性能優化:處理由於初始配置導致的性能問題。
  5. 假設本項目將基於系統標準功能實施,無需額外編碼,除非另行簽署變更要求。
  6. 如需新增功能和邏輯等任何定制,客戶提出的變更請求(例如資料輸入、系統代碼變更、審批、新增欄位、必要的代碼修改、新增和更改報表以及業務邏輯等)均需進行定制,則將按每人每天港幣4,000元收取額外費用。
  7. 如遇影響我方依上述計畫推進的情況,例如重大範圍變更、客戶關鍵人員流失、資訊缺失,或在我方開展範圍界定工作期間出現未確定或客戶要求的範圍變更,我方將及時通知客戶,並就由此導致的範圍、時間或費用變更徵求客戶批准。
    1. 除非事先撤回,報價有效期限為14天或報價單中規定的其他期限。報價不應被視為銷售義務,而僅為要約邀請,在公司接受客戶的訂單之前,雙方之間不構成任何合約關係。
    2. 本公司不受客戶訂單或接受報價所附帶的任何條件的約束,除非本公司以書面明確接受此類條件,否則客戶承認此類條件已被明確拒絕。
    3. 訂單的取消必須經公司同意,且客戶需支付足以彌補公司損失的款項。
    4. 本專案中創建的所有文件和軟體均為客戶共同擁有的知識產權。如果應用程式、軟體或附加模組主要是在與客戶的合作專案中開發的,則公司授予客戶一項非獨佔、不可轉讓的許可,允許客戶不受時間、使用者或硬體的限制,使用(執行、修改、修改後執行)該應用程式、軟體或附加模組。
    5. 雙方確認,除非另有規定,公司將使用系統、函式庫、應用程式或軟體為客戶建立解決方案。
    6. 雙方確認,本公司將負責管理系統在本專案中代表客戶部署的所有國家/地區的運作可用性和服務連續性,但不包括本公司無法控制的因素,例如本地網路服務供應商、用戶端硬體或公司無法直接控制的區域網路基礎設施造成的停機時間。
    7. 使用支援工單:
      1. 工單旨在解決客戶在系統實施後提出的系統使用和功能的相關問題。這些問題可由客戶及其員工匯總,我們的支援團隊將在預定的培訓或支援會議中解答。.
      2. 但是,如果在會議期間提出的任何問題或疑慮需要超出標準支援範圍的額外開發或定制,則可能需要多個工單。在這種情況下,我們將提前通知客戶,雙方將在繼續進行之前就額外工作所需的工單數量達成協議。
    8. 本公司承諾在每個日曆月內,至少有 99.5% 的時間向客戶提供系統,但計劃維護和因服務提供者無法合理控制的因素(例如不可抗力事件)造成的任何停機時間除外。
    9. 資料遷移的前提是客戶提供公司要求的CSV/Excel範本格式的資料。資料清理或從紙本記錄中手動輸入資料不包含在內。

6. 服務維護與支持

  1. 訂閱服務(按月或按年收費)包括以下內容:
    1. 每月內容更新(次數依訂閱方案而定)。
    2. 安全補丁與系統備份。
    3. 年度系統版本升級(按需求)。
    4. 預設防火牆配置與基本安全支援。
    5. 基本流量監測與分析報告。
  2. 按時計費服務(以時薪計費,具體費率請參閱報價單):
    1. 強化的產品目錄管理(如大規模導入、整理或更新)。
    2. 較大範圍的網站變更或改動。
    3. 度身定制的頁面設計或客製化功能開發。

7. 退費政策

  1. 一旦服務啟動,訂金將不予退還。
  2. 如果客戶在項目進行過程中終止合同,已完成的工作將根據比例計算費用,且不退還任何已支付款項。
  3. 對於訂閱服務,若客戶在訂閱期內取消服務,已支付的訂閱費用將不予退還。

8. 知識產權

  1. 在客戶全額支付服務費用後,網站的源代碼、設計及內容的所有權將轉移至客戶。
  2. 未經全額付款前,所有交付成果的知識產權歸屬於本公司。
  3. 本公司保留在作品集中展示所完成項目的權利,除非客戶以書面形式要求保密。

9. 保密條款

  1. 雙方均有責任對合作過程中接觸的機密信息進行保密,且不得在未經對方同意的情況下向第三方披露。
  2. 本條款在合作終止後仍然有效。

10. 責任限制

  1. 本公司對因不可抗力(包括但不限於自然災害、停電、網絡中斷等)導致的服務延遲或無法交付不承擔責任。
  2. 本公司的責任僅限於合同中規定的服務範圍內,且不對任何間接損失(包括但不限於利潤損失、業務中斷等)負責。

11. 適用法律與爭議解決

  1. 本條款受當地適用法律管轄。
  2. 若發生爭議,雙方應首先通過友好協商解決;協商不成時,爭議應提交至雙方同意的仲裁機構進行裁決。

12. 條款修改

  1. 本公司保留隨時修改本條款的權利,並將在網站上發布最新版本條款。建議客戶定期查閱本條款以了解最新變更。
  2. 新條款生效後,客戶繼續使用服務即視為接受修改後的條款。

Standard Terms & Conditions


These Terms and Conditions (hereinafter referred to as “Terms”) are established by Wynne Launch Limited (hereinafter referred to as “the Company”) to govern the provision of website development, content updates, and maintenance services. Please read these Terms carefully before using our services. By engaging the Company, you agree to these Terms. These Terms apply to all clients.

1. Definitions


  1. "The Company": Refers to Wynne Launch Limited, including all employees, agents, and authorised representatives.
  2. "Client" or "You": Refers to the individual or business entity engaging the Company’s services under a contract or agreement.
  3. "Services": Refers to the website development, content updates, maintenance, technical support, and any other related services provided by the Company.
  4. "Subscription Services": Refers to recurring services provided by the Company, charged on a monthly or annual basis, including but not limited to content updates, technical support, security upgrades, and system backups.
  5. "User Acceptance Testing (UAT)": Refers to the Client’s process of testing the deliverables to ensure they meet the requirements and specifications agreed upon in the contract.
  6. “System”: Refers to Website and Enterprise Management System, unless specified otherwise.

2. Scope of Services


  1. The Company provides the following services, including but not limited to:
    1. System: Design, Development, and Implementation.
    2. System: Content Updates and Maintenance (including annual subscription services).
    3. System: Feature Upgrades and Bug Fixes.
    4. Additional services as agreed upon by both parties.
  2. The Company reserves the right to adjust the scope of services and will notify the Client in advance of any changes.

3. Quotations and Payment Terms


  1. All quotations are provided in writing and are valid for 30 days unless otherwise stated on the quotation.
  2. Payment Structure:
    1. Small Projects (below HK$35,000): Full payment is required upfront before the commencement of the project.
    2. Medium Projects (above HK$35,000): A 80% deposit is required before the project starts, with the remaining 20% payable upon completion and after User Acceptance Testing (UAT).
    3. Large or Complex Projects (above HK$60,000): Payments are divided into milestones as follows:
      1. 70% deposit: Payable before the project starts.
      2. 20% midterm payment: Payable upon completion of a key milestone (e.g., delivery of wireframes, mockups, or the first testing phase).
      3. 10% final payment: Payable upon project completion and after User Acceptance Testing (UAT).
  3. Subscription Services Payment:
    1. Subscription services are billed on an auto-renewal basis, and the Client may choose to pay monthly or annually.
    2. Unless the Client provides written notice of cancellation at least 30 days prior to the renewal date, the subscription will automatically renew.
  4. All payments must be made within 14 days of the invoice date. Delayed payments may result in additional late fees or suspension of services.


4. Client Responsibilities and Liabilities

  1. Provision of Accurate Information:
    1. The Client must provide accurate, complete, and timely information (such as text, images, and branding materials) required for the project.
    2. The Company is not responsible for delays or losses caused by errors, omissions, or incomplete information provided by the Client.
  2. Adherence to Timelines:
    1. The Client must adhere to the agreed-upon timeline for submitting materials or responding to the Company’s queries. Delays caused by the Client may result in project extensions or additional fees.
  3. Third-Party Interference:
    1. The Client must not permit any third party to interfere with, modify, or manipulate the project or website without the Company’s prior consent. The Company is not liable for any issues caused by third-party interference and may charge additional fees for resolving such issues.
  4. Legal Compliance of Materials:
    1. The Client is responsible for ensuring that all materials provided (e.g., text, images, videos, music) are legally owned or licensed and do not infringe any third-party rights, including copyright or trademarks.
    2. The Client shall indemnify the Company against any claims, damages, or losses arising from the use of unlawful materials.
  5. Website Content Responsibility:
    1. The Client assumes full responsibility for all content published on their website, including text, images, videos, and other media. The Company acts solely as a service provider and is not responsible for the legality or accuracy of the website content.
  6. Testing and Approval:
    1. The Client must conduct testing and approve deliverables within the agreed timeframe (see Clause 5).
    2. If the Client fails to raise objections or provide feedback within the specified timeframe, the deliverables shall be deemed accepted.
  7. Maintenance and Updates:
    1. The Client is responsible for the ongoing use and maintenance of the website, including implementing updates and security recommendations provided by the Company. The Company shall not be held liable for issues arising from failure to follow these recommendations.
  8. Payment Obligations:
    1. The Client must fulfil all payment obligations as agreed in the contract. The Company reserves the right to suspend or terminate services in the event of delayed payments.

5. Project Delivery

  1. The Company will complete and deliver all services according to the agreed project timeline.
  2. Upon delivery, the Client must conduct User Acceptance Testing (UAT) within 14 days to review, test, and confirm the deliverables. If no objections are raised within the timeframe, the deliverables shall be deemed accepted.
  3. Additional modifications requested after acceptance may be treated as extra services and may incur additional charges.
  4. The Company offers a 60-day revision guarantee following project completion, covering the following:
    1. Bug fixes or errors affecting functionality.
    2. Correction of typographical errors or formatting issues (limited to the original content provided).
    3. Minor design adjustments (e.g., colours, fonts, or button alignment).
    4. Browser compatibility issues.
    5. Basic performance optimisations.
  5. Assuming this project will implement the System based on its standard functions without additional coding, unless a change request is signed.
  6. If any customization needed to add functions and logic, change requests from the Client such as data entry, changing system codes,approvals, adding fields, required code modifications, adding and changing reports and business logics that would require customizations which will charge an extra fee at HK4,000 per man day.
  7. If circumstances are encountered that affect our ability to proceed according to our plan outlined above, such as major scope changes, loss of key Client personnel, unavailable information, or undetermined or requested scope changes during our scoping efforts, the Company will inform the Client promptly and seek for approval for any changes in scope, timing or fees that may result from such circumstance.
    1. Unless previously withdrawn, a quotation is valid for 14 days or such other period as stated in it. A quotation is not to be construed as an obligation to sell but merely an invitation to treat and no contractual relationship shall arise from it until the Client’s order has been accepted by the Company.
    2. The Company shall not be bound by any condition attaching to the Client’s order or acceptance of a Quotation and, unless such conditions are expressly accepted by the Company in writing, the Client acknowledges that such conditions are expressly negated.
    3. Cancellation of an order can be made only with the Company's consent and upon terms that will compensate the Company against loss.
    4. All documents and software created in this project are the intellectual property that the Client shares the ownership. If an App, Software, or Extra Module has been primarily developed during a Project with the Client, the Company grants the Client a non-exclusive, non-transferable license to use (execute, modify, execute after modification) the App, Software, or Extra Module without limitations on time, users, or hardware.
    5. It is acknowledged that the Company will use the System, libraries, apps, or software to build the solution for THE Client unless specified otherwise.
    6. It is acknowledged that the Company will manage operational availability and service continuity, excluding factors beyond Company's control, across all countries where the System will be deployed on behalf of the Client in this project excluding downtime caused by local internet service providers, client-side hardware, or regional network infrastructure beyond the Company’s direct control.
    7. Usage of support ticket:
      1. A ticket is intended to address and resolve related questions raised by the client regarding the usage and functionality of the System post-implementation. These questions can be compiled by the client and their staff, and our support team will address them in a scheduled training or support session.
      2. However, if any question or issue raised during the session is determined to require additional development or customization beyond the scope of standard support, this may result in the consumption of more than one ticket. In such cases, the client will be informed in advance, and both parties will agree on the number of tickets required for the additional work before proceeding.
    8. The Company commits to making the System available to the Customer at least 99.5% of the time during each calendar month, excluding scheduled maintenance and any downtime caused by factors beyond the Service Provider's reasonable control, such as force majeure events.
    9. Data Migration assumes the Client provides data in the Company's required CSV/Excel templates. Data cleaning or manual entry from paper records is excluded.

6. Maintenance and Support Services

  1. Subscription Services (billed monthly or annually) include the following:
    1. Monthly content updates (number of updates depends on the subscription plan).
    2. Security patches and system backups.
    3. Annual system version upgrades (as required).
    4. Pre-configured firewall setup and basic security support.
    5. Basic traffic monitoring and analytics reports.
  2. Hourly Rate Services (billed based on timesheets, with rates specified in the quotation):
    1. Enhanced product catalogue management (e.g., large-scale importing, organising, or updating).
    2. Significant website changes or redesigns.
    3. Bespoke page design or custom functionality development.

7. Refund Policy

  1. All deposits are non-refundable once the project starts.
  2. If the Client terminates the contract during the project, the Client will be charged for all completed work on a pro-rata basis, and no refunds will be given for payments already made.
  3. For subscription services, cancellations made during a subscription period will not be eligible for a refund of any prepaid fees.

8. Intellectual Property

  1. Ownership of the project’s source code, design, and deliverables will transfer to the Client upon full payment of all fees.
  2. Until full payment is received, all intellectual property rights remain with the Company.
  3. The Company reserves the right to showcase completed projects in its portfolio unless the Client requests confidentiality in writing.

9. Confidentiality

  1. Both parties agree to maintain the confidentiality of all sensitive information exchanged during the project and not disclose it to third parties without prior written consent.
  2. This clause remains in effect even after the termination of the contract.

10. Limitation of Liability

  1. The Company is not liable for delays or non-performance caused by force majeure events, including but not limited to natural disasters, power outages, or internet disruptions.
  2. 10.2 The Company’s liability is limited to the scope of services provided under the contract and excludes any indirect losses, including loss of revenue or business interruption.

11. Governing Law and Dispute Resolution

  1. These Terms are governed by the laws of Hong Kong.
  2. In the event of a dispute, both parties agree to attempt resolution through amicable negotiation. If negotiation fails, the dispute will be referred to arbitration in accordance with the rules of the Hong Kong International Arbitration Centre.

12. Amendments to Terms

  1. The Company reserves the right to amend these Terms at any time. Updates will be posted on the Company’s website, and Clients are encouraged to review the Terms regularly.
  2. Continued use of the Company’s services constitutes acceptance of the amended Terms.
